Terms of Service

The agreement between you and Zedafrica for using Zedlify.

These Terms of Service (“Terms”) govern access to and use of Zedlify, the software-as-a-service order management and commerce platform (the “Service”) operated by Zedafrica Co. Ltd (“Zedafrica,” “we,” “us,” or “our”).

By creating an account, starting a trial, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

  • Merchant, you, or your means the business (and the adults authorised to act for it) that registers for and uses Zedlify to manage orders, storefronts, staff, or related features.
  • End customer means a person who buys from, or whose order data is processed by, a Merchant through the Service (for example via a walk-in sale, WhatsApp order, phone order, or online store).
  • Staff user means a person invited by a Merchant to access that Merchant’s workspace under a staff or owner role.
  • Subscription means the paid (or trial) plan that entitles a Merchant to use the Service for a billing period.

2. The Service

Zedlify helps Merchants track and manage orders and payments across channels such as walk-ins, phone, WhatsApp, and an online storefront. Features may include order logging, receipts and delivery notes, inventory and catalog tools, staff access, payment-link and M-Pesa checkout integrations for the Merchant’s own Till or Paybill, WhatsApp-related messaging where configured, websites/storefronts, and related dashboards.

We may add, change, or remove features from time to time. Plan limits (for example products, orders, staff seats, or sites) apply as described on our pricing page or in your account at the time of purchase or renewal.

Marketing statements (including typical setup timelines such as “live in 48 hours”) describe our usual onboarding goals. They are not contractual service-level commitments and do not create credits, refunds, or penalties if timing differs — especially where setup depends on information, assets, or third-party accounts you provide.

3. Eligibility & accounts

You may only use the Service if you are a business or other organisation, and the individual who creates or administers the account is an adult authorised to bind that organisation to these Terms. You are responsible for all activity under your account and for Staff users you invite.

You must provide accurate registration and billing information and keep it up to date. Keep login credentials confidential. Notify us promptly if you suspect unauthorised access.

We may refuse, suspend, or terminate accounts that we reasonably believe violate these Terms or pose a legal, security, or reputational risk.

4. Plans, trial & billing

a. Subscription fees

Zedlify is billed as a flat monthly Subscription in Kenyan Shillings (KES), according to the plan you select. We do not take a commission on your sales. Fees and included limits are shown on our pricing materials or in your account and may change for future periods with reasonable notice.

b. Trial

New Merchants may receive a free trial (typically 30 days) as described at signup or on our pricing page. Trial features and length may vary by offer. Unless you cancel before the trial ends, your Subscription may continue on a paid plan under the then-current terms.

c. No long-term contract

Paid plans renew monthly unless cancelled. There is no minimum term beyond the current billing period you have already entered.

d. Upgrades, downgrades & refunds

If you upgrade or downgrade mid-cycle, we may prorate fees for the remainder of that billing period. Except for such proration on plan changes, Subscription fees are non-refundable, including for unused time in a billing period after cancellation.

e. Late payment & grace period

If a payment is due and unpaid, we allow a grace period of seven (7) days after the due date. During the grace period you may continue to use the Service while we attempt to collect payment. After the grace period, we may suspend access until payment is received. Prolonged non-payment may lead to termination as described below.

5. Merchant customer payments

When End customers pay you through M-Pesa STK Push, Till, Paybill, payment links, or other channels you configure, funds are paid to your merchant payment credentials. Zedlify does not hold, clear, or take custody of those End-customer payments as part of the Subscription model.

You are solely responsible for your M-Pesa / bank / payment-provider setup, reconciliation, taxes on your sales, and any disputes with your End customers about goods, delivery, or refunds of their purchases from you.

6. Customer data & roles

For personal data about your End customers that you (or your Staff users) submit to or process through Zedlify (names, phones, addresses, order details, and similar):

  • You are the data controller (or equivalent under applicable law) of that End-customer data; and
  • Zedafrica acts as a data processor (or equivalent), processing that data on your instructions to provide the Service, as further described in our Privacy Policy.

You are responsible for having a lawful basis to collect and use End-customer data, for your own privacy notices and storefront policies, and for responding to End-customer requests that are directed at you as controller. We process account and billing data about Merchants and Staff users as a controller for operating Zedlify, as set out in the Privacy Policy.

Your public storefront terms, refunds to shoppers, and product claims are yours. Platform Terms cover the relationship between you and Zedafrica — not the contract between you and your End customers.

7. Your content & intellectual property

a. Your content

You retain ownership of content you upload or create in the Service (product data, images, logos, page copy, themes, and similar “Merchant Content”). You grant Zedafrica a worldwide, non-exclusive licence to host, store, display, and process Merchant Content solely to operate, secure, and improve the Service and to provide support.

You represent that you have the rights needed to use Merchant Content and any custom domain you connect, and that Merchant Content does not infringe others’ rights or applicable law.

b. Our IP

Zedlify, including software, design, trademarks, and documentation, is owned by Zedafrica or its licensors. These Terms do not transfer ownership of our IP to you. You receive only a limited, non-exclusive, non-transferable right to access the Service during an active Subscription (or trial), subject to these Terms.

8. Acceptable use

You agree not to misuse the Service. Without limitation, you must not:

  • Use the Service for unlawful goods, services, or purposes, or in violation of Kenyan or other applicable law
  • Engage in fraud, money laundering facilitation, phishing, or deceptive trade practices
  • Upload malware, attempt to breach security, scrape the Service without permission, or overload our systems
  • Infringe intellectual property, privacy, or publicity rights
  • Spam, harass, or send unsolicited communications using messaging features
  • Use WhatsApp, Meta, SMS, or similar integrations in ways that violate those providers’ terms, policies, or acceptable-use rules (including automation and template rules)
  • Resell or white-label the Service except as expressly permitted in writing
  • Interfere with other Merchants’ use of the Service

We may investigate suspected violations and suspend or terminate access where we reasonably believe this section has been breached.

9. Third-party services

The Service may integrate with third parties such as Safaricom M-Pesa, Meta WhatsApp (or other WhatsApp providers), SMS gateways, hosting, analytics, and subscription payment processors. Those services are subject to their own terms and availability. We are not responsible for outages, policy changes, or actions by third parties outside our reasonable control.

If you connect a WhatsApp Business account or similar channel, you must comply with Meta’s (or the relevant provider’s) platform terms and commerce policies. We may disable an integration that puts the platform or other users at risk.

10. Availability & setup

We aim to keep Zedlify available and reliable, but we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, emergencies, or third-party failures may affect availability.

Onboarding assistance (including product migration or training where offered on your plan) depends on timely cooperation from you. Timeframes described in marketing are targets only and are not warranties.

11. Suspension & termination

a. Your cancellation

You may cancel at any time. Cancellation takes effect at the end of the current billing period already paid for (or at the end of the trial, if you cancel during trial). You remain responsible for fees owed up to that date.

b. Our suspension or termination

We may suspend or terminate access immediately for material breach of these Terms, illegal activity, non-payment after the grace period, security risk, or as required by law. We may also discontinue the Service with reasonable notice where practicable.

c. Data after termination

After cancellation or suspension that ends access, we generally retain Merchant workspace data for up to thirty (30) days so you can export or reactivate if applicable, unless law requires longer retention or you request earlier deletion where we can reasonably comply. After that window we may permanently delete tenant data from production systems. Billing and legal records may be kept longer as required.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEDAFRICA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC BUSINESS RESULTS OR THAT DATA LOSS WILL NEVER OCCUR.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEDAFRICA AND ITS DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS.

OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE SUBSCRIPTION FEES YOU PAID TO ZEDAFRICA FOR THE SERVICE IN THAT PERIOD (OR, IF YOU ARE ON A FREE TRIAL AND HAVE PAID NOTHING, KES 0).

Nothing in these Terms excludes liability that cannot be excluded under Kenyan law (for example, fraud or death/personal injury caused by negligence where such exclusion is prohibited).

14. Indemnity

You will defend and indemnify Zedafrica against claims, damages, and reasonable costs arising from: (a) your Merchant Content or storefront; (b) your End-customer relationships, products, or payments; (c) your breach of these Terms or applicable law; or (d) your use of third-party integrations in violation of their rules — except to the extent caused by our wilful misconduct.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page with a revised “Last updated” date. Material changes will be communicated by reasonable means (for example email or in-product notice) where practicable. Continued use after the effective date of changes constitutes acceptance of the updated Terms.

16. Governing law & disputes

These Terms are governed by the laws of the Republic of Kenya. Subject to any mandatory consumer protections that cannot be waived, the courts of Nairobi, Kenya have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.
